0. Relationship with the Terms and Conditions; Consumers

0.1 Part of the Terms. This Disclaimer forms part of, is incorporated into, and is to be read consistently with the Condor Research Terms and Conditions (the “Terms“). Capitalised terms used but not defined in this Disclaimer have the meanings given to them in the Terms, including “Consumer“, “Business Customer“, “Trade Controls“, “Restricted Party” and “Sanctioned Territory“.

0.2 Order of precedence. In the event of any conflict or inconsistency concerning consumer rights, the statutory guarantee of conformity, refunds, the right of withdrawal, limitation of liability, governing law or dispute resolution, the Terms prevail over this Disclaimer. In every other respect this Disclaimer and the Terms are to be read together as a single, mutually corroborating instrument.

0.3 Consumer savings (mandatory-law backstop). The Website’s offers are addressed exclusively to professional purchasers and Atrio Sciences s.r.o. does not knowingly supply Consumers (clause 4A of the Terms); this clause operates solely as a backstop where, notwithstanding clause 4A of the Terms, a buyer is in law a Consumer. Nothing in this Disclaimer excludes, restricts or modifies any right or remedy that such a Consumer has under mandatory consumer-protection law that cannot lawfully be excluded, restricted or modified, including under Directive 2011/83/EU, Directive 93/13/EEC, Directive (EU) 2019/771, and the mandatory provisions of the law of the Consumer’s country of habitual residence. The consumer savings provision in clause 1A of the Terms applies to this Disclaimer in full. Where any provision of this Disclaimer would, if applied to a Consumer, be unfair, void or unenforceable under such mandatory law, that provision shall, as against that Consumer only, be read down to the minimum extent necessary to be valid or, if it cannot be so read down, shall not apply to that Consumer; in every other respect, and as against every Business Customer, this Disclaimer continues in full force.

0.4 Use restrictions unaffected. For the avoidance of doubt, clause 0.3 is a savings provision only. The Research-Use-Only (“RUO“) restrictions, the prohibition on human or animal use, the redistribution restriction, and the professional-use representations set out below define the permitted use of the Products and apply to every Customer (Consumer and Business Customer alike); only the rights-stripping side-effects of any provision are neutralised for Consumers, and only to the extent mandatory law requires.

1. Nature of Products and Intended Use

All compounds, peptides, and laboratory reference materials offered through this website (“Products“) are supplied exclusively for in vitro research, laboratory investigation, analytical testing, method development, and non-clinical scientific study by qualified persons operating within a lawful research, analytical, educational, or industrial context.

These Products are not medicines or medicinal products, drugs, food, dietary or food supplements, cosmetics, veterinary products, medical devices, novel psychoactive substances, recreational substances, or consumer goods. They are supplied solely as research-use-only (“RUO“) reference compounds and are not placed on the market for any human or animal application of any kind.

By accessing this website or placing an order, you unconditionally confirm that you understand and accept this intended use.

2. Products Are Not for Human or Animal Use

The Products must not be:
– ingested, injected, inhaled, or applied to the skin or mucous membranes;
– administered to humans or animals by any route;
– used therapeutically, diagnostically, or prophylactically;
– used for supplementation, wellness, biohacking, cognitive enhancement, anti-aging, or any consumer application;
– used in professional or amateur sports, for athletic performance enhancement, bodybuilding, anti-doping circumvention, or any prohibited sporting activity.

All Products are clearly labelled with the following legend, which also appears on the corresponding product listing and on the accompanying shipping documentation:

“FOR LABORATORY RESEARCH USE ONLY (IN VITRO). NOT A MEDICINE, FOOD, SUPPLEMENT, COSMETIC, OR MEDICAL DEVICE. NOT FOR HUMAN OR VETERINARY USE, ADMINISTRATION, OR CONSUMPTION.”

The label, this Disclaimer, the Terms, and the Shipping Policy are intended to be mutually consistent and mutually corroborating; this consistency is itself part of Condor Research’s genuine RUO regime.

Misuse of these Products may be illegal and dangerous. Atrio Sciences s.r.o. expressly disclaims all liability for any harm arising from misuse, to the maximum extent permitted by applicable law and subject always to clause 12.

3. Solid-Unit and Pre-Portioned Research Materials

3.1 Handling rationale. Where Products are supplied in solid-unit, encapsulated, or pre-portioned format, such presentation serves solely to facilitate standardised laboratory handling, storage and oxidative/photolytic stability, analytical consistency, blinded analytical procedures, gravimetric reference standardisation, analytical reference-quantity consistency, and dispensing-error reduction within a research environment. Such formats utilise analytical-grade inert carrier materials selected for analytical compatibility and stability; carrier-material composition is disclosed per product listing.

3.2 Not a dosage form; no medicinal presentation. The solid-unit or encapsulated presentation is an analytical and handling format only. It is not a dosage form, is not presented as having any property for treating, preventing, curing, alleviating, or diagnosing any disease, symptom, or physiological condition in humans or animals, and must not be construed as a medicinal product by presentation or by function within the meaning of Article 1(2)(a) and (b) of Directive 2001/83/EC, as a food or food supplement within the meaning of Regulation (EC) No 178/2002 and Directive 2002/46/EC, or as having any nutritional, physiological, or pharmacological function for a human or animal. No quantity, mass, or unit count stated for any solid-unit or encapsulated Product represents, or is to be read as, a recommended, safe, or therapeutic dose, serving, or intake for any living subject; any such quantity is stated solely as an analytical reference quantity (mass per unit) for laboratory characterisation and identification.

3.3 No consumption suitability. This presentation does not imply, and must not be taken to imply, suitability for human consumption, oral or any other administration, supplementation, therapeutic or cosmetic application, veterinary use, or any form of physiological application. Solid-unit and encapsulated Products remain strictly Research Use Only (RUO) materials in the same way as all other Products.

4. No Medical, Therapeutic, or Regulatory-Approval Claims

4.1 No claims. Atrio Sciences s.r.o. makes no representations, warranties, or claims — express or implied — regarding the safety, efficacy, suitability, or appropriateness of any Product for any therapeutic, medical, veterinary, or human health purpose.

4.2 Nothing constitutes advice or approval. Nothing on this website constitutes:
– medical advice, diagnosis, or treatment guidance;
– a recommendation or endorsement for human or animal consumption;
– a claim that any Product has been approved, licensed, registered, or authorised by any regulatory authority, including but not limited to the European Medicines Agency (EMA), the Slovak State Institute for Drug Control (Štátny ústav pre kontrolu liečiv, “ŠÚKL”), or any equivalent body.

4.3 No medicinal status or presentation. For the avoidance of doubt, Atrio Sciences s.r.o. does not place any Product on the market as a medicinal product, does not hold or seek any marketing authorisation for any Product, and does not advertise any Product as a medicinal product. The absence of a marketing authorisation reflects that the Products are research reference materials outside the medicinal-product regime, and not a medicinal product awaiting or lacking approval. No content on this website is intended to promote the supply or use of any Product as a medicine within the meaning of Article 86 of Directive 2001/83/EC.

4.4 Content Classification Control. Condor Research maintains an editorial control designed to ensure that no product listing, datasheet, blog article, or scientific reference published on this website: (i) states or implies that any Product treats, prevents, cures, or alleviates any disease, symptom, or physiological condition in humans or animals; (ii) presents any physiological, pharmacological, or therapeutic effect as a reason to purchase; or (iii) juxtaposes any efficacy statement with pricing, availability, or purchasing functionality in a manner capable of conveying, even implicitly, that the Product is suitable for administration. Scientific citations are reproduced solely to characterise the reference compound for analytical identification and are presented in a neutral, bibliographic manner without therapeutic framing. No website content is intended to be, or shall be construed as, a representation that any Product is suitable for administration to humans or animals; any editorial deviation from this control is unintended, does not constitute such a representation, does not alter the RUO designation of any Product, and will be corrected promptly upon identification or upon notice to info@condorresearch.com.

4.5 Reference materials only. No content published by Condor Research — including scientific references, linked publications, or research protocols — constitutes medical advice, therapeutic recommendation, diagnostic information, or healthcare guidance of any kind. Such materials are provided solely for academic and research reference purposes.

5. Unknown Properties and Experimental Nature

The toxicological, pharmacological, biochemical, and physiological properties of many research materials supplied by Condor Research may not be fully investigated or characterised. The buyer assumes full responsibility for conducting appropriate risk assessments and implementing suitable laboratory safety measures prior to any handling or use.

6. Prohibition on Non-RUO Redistribution and Commercial Exploitation

6.1 Restriction. To preserve the Research-Use-Only status and safe handling of the Products and to comply with applicable medicines, food, cosmetic, and consumer-safety law, you must not resell, supply, transfer, donate, relabel, repackage, market, or otherwise make any Product available to any person for human or animal use, or as a food supplement, medicinal product, cosmetic, performance-enhancing product, wellness product, or consumer good of any kind. Redistribution to end consumers, patients, athletes, or any person for personal use — whether or not for commercial gain — is strictly prohibited.

6.2 Compliance and safety basis. This restriction is imposed for compliance and safety reasons and as a legitimate objective justified on grounds of the protection of public health. It is without prejudice to any mandatory ownership right of a Customer dealing as a Consumer in goods lawfully acquired; it operates as a use and safety restriction and not as an absolute restraint on the alienation of title that has passed.

6.3 No liability for buyer breach. Atrio Sciences s.r.o. accepts no liability for any consequences arising from unauthorised redistribution or commercial exploitation by a buyer, subject always to clause 12.

7. Qualified Purchasers, Representations, and Age Confirmation

7.1 Intended purchasers. Products are intended for purchase and use exclusively by qualified persons operating within a lawful research, analytical, educational, or industrial context — including but not limited to academic institutions, licensed laboratory professionals, pharmaceutical and biotechnology researchers, independent scientific consultants, and industrial analytical facilities. The Website and its offers are addressed exclusively to such professional, institutional, and business purchasers (clause 4A of the Terms); Atrio Sciences s.r.o. does not direct its offers to, and does not knowingly supply, Consumers. Each order is accepted in good-faith reliance on the purchaser’s professional-capacity declaration, which is recorded and renewed with every order.

7.2 Representations. By placing an order, you represent and warrant that:

(a) you are at least 18 years of age;
(b) you are a qualified person purchasing for a legitimate, lawful research, analytical, educational, or industrial purpose;
(c) you act either as a qualified researcher in your own right, on behalf of a research-oriented entity, or as a professional operator with sufficient technical knowledge regarding research-grade materials;
(d) you have the knowledge, facilities, and legal authorisation to handle the Products safely and in compliance with applicable law;
(e) you do not purchase the Products for personal use, human consumption, therapeutic use, cosmetic use, supplementation, recreational use, sports performance, or any other prohibited application.

Orders from individuals who cannot truthfully make these representations are not authorised and will be cancelled upon discovery.

7.3 Consumers (mandatory-law backstop). A person who, by their declarations, conduct, or the circumstances of their order, gives Atrio Sciences s.r.o., acting in good faith, the legitimate impression of acting for professional or business purposes is treated, to the maximum extent permitted by applicable law, as having renounced the protections afforded to consumers (clause 4A of the Terms). If, notwithstanding clause 4A of the Terms, a buyer is in law a Consumer, the representations in this clause define the permitted use of the Products and do not, and are not intended to, waive, diminish, or operate as a precondition that strips the Consumer of any mandatory right conferred by Directive 2011/83/EU, Directive 93/13/EEC, or Slovak consumer-protection law. The checkout declaration described in the closing paragraph of this Disclaimer includes an informed acknowledgement that the Products are sealed goods within Article 16(e) of Directive 2011/83/EU and § 19(1)(e) of Act No. 108/2024 Z.z., and that any right of withdrawal that might apply by operation of mandatory law is lost once a Product is unsealed. These confirmations are recorded as set out in the closing paragraph of this Disclaimer.

8. Safe Handling and Storage — Buyer’s Responsibility

All Products must be handled and stored in accordance with applicable good laboratory practices (GLP), relevant health and safety regulations, and any specific handling instructions provided with the Product. The buyer assumes full responsibility for:

(a) ensuring adequate facilities, safety equipment, and protocols for handling research compounds;
(b) proper storage conditions to maintain Product integrity and prevent unauthorised access;
(c) safe disposal of unused or expired Products in compliance with applicable waste regulations.

Atrio Sciences s.r.o. is not liable for any incident, injury, or damage arising from improper handling, storage, or disposal of Products at the buyer’s premises, subject always to clause 12.

9. No Reliance on Communications

The buyer acknowledges that no oral or written information, statement, or communication provided by Atrio Sciences s.r.o., its staff, affiliates, representatives, or customer support — whether by email, chat, telephone, or any other channel — shall be interpreted as medical, therapeutic, dosing, administration, or consumer-use guidance. All such communications are provided strictly in the context of research compound handling and are not a substitute for independent scientific or professional judgement. Nothing in this clause excludes or limits liability for fraud or fraudulent misrepresentation.

Condor Research does not provide dosage guidance, administration protocols, reconstitution instructions for human or animal use, cycle or stack recommendations, therapeutic guidance, or consumption instructions. Reconstitution data, where provided, is supplied solely as reconstitution data for analytical preparation and laboratory characterisation. Any request for human- or animal-use guidance may result in order refusal and account restriction.

10. Regulatory Compliance — Buyer’s Responsibility

The import, possession, handling, and use of research compounds is subject to varying national, regional, and local laws and regulations. The buyer bears sole responsibility for verifying:

(a) the legality of importing, possessing, and using any Product in their jurisdiction;
(b) applicable customs requirements and import authorisations;
(c) any licensing or research authorisation obligations;
(d) all applicable regulatory restrictions.

Atrio Sciences s.r.o. makes no representation that any Product is legal to import, possess, or use in any particular jurisdiction. Orders placed in jurisdictions where a Product is controlled, scheduled, or prohibited are placed entirely at the buyer’s own risk and legal responsibility.

10A. Sanctions and Export-Control Confirmation

By placing an order you additionally confirm, represent, and warrant, on a continuing basis, that:

(a) you are not a Restricted Party and you are not located in, resident in, established in, or ordering for use in or for the benefit of any person in a Sanctioned Territory (including Russia and Belarus to the extent the applicable measures so provide), as those terms are defined in the Terms;

(b) no Product will be exported, re-exported, sold, supplied, transferred, or otherwise used, directly or indirectly, in breach of any applicable Trade Controls, including Regulation (EU) 2021/821 (dual-use), Council Regulation (EU) No 833/2014 (Russia), and Council Regulation (EC) No 765/2006 (Belarus), nor in circumvention of any such measure;

(c) no Product will be used, directly or indirectly, in connection with any chemical, biological, nuclear, or radiological weapon or any other weapon of mass destruction, or any means of delivery of such a weapon, or for any other prohibited military end-use; and

(d) you will not re-export or transfer any Product to the Russian Federation or for use in the Russian Federation where the Product falls within any category for which a “no-re-export-to-Russia” clause is required under Article 12g of Council Regulation (EU) No 833/2014.

These confirmations are a condition of sale, are relied upon by Atrio Sciences s.r.o., and are without prejudice to any mandatory consumer-protection right preserved under clause 0.3.

11. Analytical Testing and Quality Data

Product descriptions, specifications, and analytical data (including Certificates of Analysis) are provided in good faith based on independent third-party laboratory testing. Where provided, analytical data (including HPLC, mass spectrometry, or equivalent) is made available exclusively for research transparency and reference purposes.

Such testing does not constitute medical approval, therapeutic certification, regulatory authorisation, or safety validation for human or animal use, and no Certificate of Analysis or other quality document states or implies any dose equivalent or any quantity recommended or safe for any living subject. Atrio Sciences s.r.o. does not guarantee that any information is free from error. Buyers should independently verify all technical data before use. Nothing in this clause excludes or limits the statutory guarantee of conformity owed to a Consumer under Directive (EU) 2019/771 or the corresponding provisions of Slovak law.

Manufacturer documentation is not published in order to preserve supply chain integrity. Only independent third-party test reports are made available per batch.

12. Limitation of Liability

12.1 Heads of excluded liability. Subject to clause 12.2 (non-excludable liability), to the mandatory rights of a Customer dealing as a Consumer, and to the maximum extent permitted by applicable Slovak and European law, Atrio Sciences s.r.o., its directors, employees, agents, and affiliates shall not be liable for:

(a) any direct, indirect, incidental, special, punitive, or consequential damages arising from the purchase, handling, storage, or use of any Product;
(b) any harm, injury, or adverse outcome resulting from use of any Product in a manner inconsistent with its research-only designation;
(c) any legal or regulatory consequences suffered by the buyer as a result of non-compliance with applicable law in the buyer’s jurisdiction;
(d) any incident arising from improper handling, storage, or disposal of Products at the buyer’s premises;
(e) customs seizures, import refusals, or regulatory confiscations.

The exclusions in this clause 12.1 apply to Business Customers in full, and to Consumers only to the extent permitted by the mandatory law of the Consumer’s country of habitual residence.

12.2 Non-excludable liability. Nothing in this Disclaimer excludes or limits liability for:

(a) death or personal injury caused by negligence (the term “negligence” being unqualified by, and not requiring, any element of gross negligence or wilful misconduct);
(b) fraud or fraudulent misrepresentation;
(c) liability under Directive 85/374/EEC concerning liability for defective products, as implemented in the Slovak Republic;
(d) the mandatory guarantee of conformity owed to Consumers under Directive (EU) 2019/771, as implemented in the Slovak Republic; or
(e) any other liability that cannot lawfully be excluded or limited under applicable mandatory law.

Without limiting the foregoing, nothing in clause 12.1 excludes liability for direct loss to the extent it consists of death or personal injury caused by negligence, or arises under Directive 85/374/EEC or Directive (EU) 2019/771. For a Customer dealing as a Consumer, this Disclaimer does not exclude or limit any non-excludable statutory right, and the limitations in clause 12.1 apply only to the extent permitted by the mandatory law of that Consumer’s country of habitual residence.

13. Governing Law and Jurisdiction

13.1 Business Customers. For a Customer dealing as a Business Customer, this Disclaimer and all matters (including non-contractual obligations) arising from or in connection with it or with the use of this website are governed by the laws of the Slovak Republic, and the competent courts of the Slovak Republic have exclusive jurisdiction, including over non-contractual claims pursuant to Regulation (EC) No 864/2007 (Rome II).

13.2 Consumers. For a Customer dealing as a Consumer, this Disclaimer is governed by the laws of the Slovak Republic, but that choice of law does not deprive the Consumer of the protection of the mandatory provisions of the law of the Consumer’s country of habitual residence under Article 6(2) of Regulation (EC) No 593/2008 (Rome I). Nothing in this Disclaimer affects the Consumer’s right under Articles 17 to 19 of Regulation (EU) No 1215/2012 (Brussels I bis) to bring proceedings in, and to be sued only in, the courts of the Member State in which the Consumer is domiciled.

13.3 Consistency with the Terms. This clause 13 is to be read consistently with, and applied in the same manner as, the governing-law and jurisdiction clause of the Terms; in the event of any inconsistency on these matters, the Terms prevail.

By using this website or purchasing any Product, you acknowledge that you have read, understood, and agree to this Disclaimer in its entirety, including the sanctions and export-control confirmations in clause 10A.

Prior to completing any purchase, the Customer must actively confirm, via a single non-pre-ticked checkbox, the declarations in clause 7 of this Disclaimer and in clauses 4 and 4A of the Terms: that the Customer acts in a professional, institutional, or business capacity; that the Products are purchased solely for lawful in vitro research and not for human or animal consumption; and that the Customer acknowledges that the Products are supplied as sealed goods within Article 16(e) of Directive 2011/83/EU and § 19(1)(e) of Act No. 108/2024 Z.z., so that any right of withdrawal that might apply by operation of mandatory law is lost once a Product is unsealed. By ticking the confirmation checkbox the Customer also confirms acceptance of the Terms and Conditions, Privacy Policy, Cookie Policy, and Shipping Policy, which are incorporated by reference.

Each confirmation is recorded with a timestamp, the version of this Disclaimer and of the Terms in force at the time, and the order reference, and is retained as a compliance record (see Privacy Policy sections 4.4 and 12).
